Terms of Service

Effective date: July 10, 2026

These Terms of Service (“Terms”) form a binding agreement between MStoGo LLC (“MStoGo,” “we,” “us”) and the person or entity using the Service at https://sales.mstogo.com (“you”). By accessing or using the Service, you agree to these Terms.

1. The Service

MStoGo provides tools for marketing agencies to find local-business prospects, generate audit reports, send proposals, and manage client onboarding.

2. Accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the security of your credentials and everything that happens under your account.
• Provide accurate information and keep it up to date.

3. Acceptable use

You agree not to:

• Violate any law or third-party right, including intellectual property and privacy rights.
• Send spam or unsolicited messages that violate anti-spam laws (e.g., CAN-SPAM, CASL, GDPR).
• Reverse engineer, scrape, or overload the Service.
• Use the Service to build a competing product or to train machine-learning models on our outputs.
• Upload malware or attempt to gain unauthorized access.

4. Your content and clients

You retain ownership of the data you and your clients submit (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate the Service. You represent that you have the rights and consents needed to submit Your Content and to contact the prospects and clients you add.

5. Third-party services

The Service integrates with third parties including Google (Sign-In, Calendar, Maps/Places), Microsoft, and Zoom. Your use of those integrations is also governed by their respective terms and privacy policies. We are not responsible for third-party services.

6. Fees

Paid plans are billed in advance and are non-refundable except where required by law. You authorize us to charge your payment method on a recurring basis until you cancel.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends and we may delete Your Content after a reasonable grace period.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Audit results and pricing suggestions are informational only and not professional advice.

9. Limitation of liability

To the maximum extent permitted by law, MStoGo LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of these Terms will not exceed the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) US $100.

10. Indemnification

You will defend and indemnify MStoGo LLC from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

11. Changes

We may update these Terms. If we make material changes we will notify you (e.g., by email or in-app notice). Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Exclusive venue is the state and federal courts located in Delaware.
